Terms of Use

1. Acceptance of the Terms
These Terms of Use (the “Terms”) govern the use of the Assocializa platform (the “Platform”), offered by Softaliza Tecnologias LTDA, CNPJ 34.394.467/0001-85, headquartered at Av. Roraima, 1000 – Prédio 02 – ITSM – Sala 18, Santa Maria/RS, ZIP 97105-900.
By creating an account, accessing or using any feature of the Platform, you declare that you have read, understood and fully agreed to these Terms and to the Privacy Policy. If you do not agree, do not use the Platform.
2. Eligibility
The Platform is intended exclusively for individuals who are 18 years of age or older and fully capable. By registering, you declare that you meet this requirement. If you represent a legal entity, you declare to have the authority to bind the legal entity to these Terms.
3. User Account
- You are responsible for the information provided at registration, which must be true, complete and up to date.
- You are solely responsible for safeguarding your access credentials. Notify us immediately upon detecting unauthorized use.
- We may suspend or terminate the account in the event of a breach of these Terms, of applicable law, or upon request by the account holder.
4. Platform Features
The Platform offers, among others, the following features:
- Creation and administration of associations, with registration of members, categories, access profiles and documents;
- Recurring billing of monthly and annual dues, with integrated payment gateways (Pagar.me and Stripe);
- Optional modules: timeline, calendar, library, events, polls and support;
- Issuance of receipts and administrative reports.
Available features may vary depending on the plan contracted by the association and on Platform updates.
5. Payments and Refunds
- Monthly or annual fee amounts are set by the association with which you are affiliated. Assocializa acts as a technical intermediary for processing.
- Payments are processed by Pagar.me or Stripe, which store and tokenize card data in accordance with PCI-DSS standards.
- Refund requests must be addressed to the association responsible for the charge, subject to its internal rules and to applicable law (including the Brazilian Consumer Protection Code, when applicable).
- Failure to pay dues may result in suspension of access to the association’s resources, under the terms defined by each association.
6. User Conduct and Content
You undertake to use the Platform ethically and lawfully. It is prohibited, among other conduct:
- To publish unlawful, offensive, defamatory, discriminatory content or content that infringes copyright or third-party rights;
- To attempt to access restricted areas or interfere with the operation of the Platform (reverse engineering, exploitation of vulnerabilities, denial-of-service attacks);
- To use the Platform to send spam, phishing or any fraudulent practice;
- To share access credentials or allow third parties to use your account;
- To collect personal data of other users without an appropriate legal basis.
Non-compliance may result in removal of the content, suspension or termination of the account, without prejudice to applicable civil and criminal liability.
7. Intellectual Property
All intellectual property rights in the Platform (code, trademarks, logos, layouts, databases) belong to Softaliza Tecnologias LTDA or its licensors. Nothing in these Terms transfers any rights over such property to the user.
The user retains the rights over the content they publish, granting the Platform a non-exclusive, royalty-free and revocable license to store, process and display such content strictly within the scope of the contracted service.
8. Availability and Maintenance
We make reasonable efforts to keep the Platform available, but we do not guarantee uninterrupted availability. Scheduled downtime for maintenance may occur, with prior notice when possible, as well as unscheduled interruptions due to technical failures or force majeure events.
9. Limitation of Liability
To the extent permitted by applicable law, Softaliza Tecnologias LTDA shall not be liable for:
- Indirect damages, loss of profits or loss of opportunity arising from the use or inability to use the Platform;
- Conduct of users, associations or third parties using the Platform;
- Failures or unavailability of third-party services (payment gateways, email providers, hosting infrastructure);
- Events of fortuitous event or force majeure.
Nothing in these Terms excludes liability for the violation of non-waivable consumer rights or for willful misconduct or gross negligence.
10. Termination
You may close your account at any time at /perfil/excluir. Softaliza Tecnologias LTDA may terminate or suspend access in the event of a breach of these Terms, with reasonable notice when possible. Termination does not relieve existing obligations (e.g. payment of past-due dues).
11. Changes to these Terms
We may amend these Terms to reflect regulatory changes or the evolution of the Platform. Material changes will be communicated by email at least 15 days in advance. Continued use after the effective date constitutes acceptance of the new conditions.
12. Data Protection
The processing of personal data is governed by the Privacy Policy. To exercise your rights as a data subject, use /lgpd/solicitacao.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the District of Santa Maria/RS are hereby elected to resolve any disputes, with waiver of any other, however privileged, except for the jurisdiction of the consumer’s domicile when applicable.
